On June 10,1874,the Defendant John Dodds(seller) signed and delivered to the Plainteff,George Dickinson,a menmorandum,of which the material part was as follows: 1874年6月10日，原告约翰.多兹（卖方）签署了一份备忘录，并将其转交给被告乔治.狄金森。该备忘录的重要内容如下：注： a material part 应为 “重要内容”之意。参： 5.3 Where a delivery date is a material part of the Contract this shall be stated in the Order and time for delivery shall not be of the essence unless this is specifically stated in the Order. 如果交付日期是合同中的重要部分，则应在定单中作出规定。除非定单中有明确的规定，否则交付的时间不应作为重要因素。
